# Affiliate Program (Direct)

### 1. Purpose & Scope

This Affiliate Commission Policy ("Policy") governs the terms under which individuals or entities ("Affiliates") earn compensation for referring customers or generating sales on behalf of Rogue AI Trading Inc. ("the Company"). This Policy is binding on all current and future Affiliates and supersedes any prior verbal or informal agreements regarding commission compensation.

There is no defined contract term for Affiliate participation. An Affiliate is entitled to earn commissions on any qualifying sale to a new client at any time, for as long as they remain in good standing under this Policy.

### 2. Definitions

* Affiliate — Any individual or entity that introduces prospects to the Company or actively sells the Company's products on the Company's behalf.
* Introduction — An Affiliate presents a prospect to the Company. An introduction does not guarantee a purchase and does not create any commission obligation until a completed, paid sale occurs.
* Sale — A completed transaction in which a customer pays for a Company product or service in full, via an approved payment method, and where no chargeback, refund, or dispute is pending.
* New Client — A prospect with no prior purchase history with the Company at the time of introduction or sale.
* Net Sale Amount — The gross transaction amount less applicable sales tax for the jurisdiction in which the sale occurs. All commission percentages are calculated on the Net Sale Amount only.
* Referring Affiliate (Person A) — The Affiliate who introduced or sold to the original customer.
* Referred Customer (Person B) — The individual or entity introduced or sold to by the Referring Affiliate.
* Secondary Sale — A future, independent sale made by Person B — the customer originally referred by Person A.
* Closed Sale — A sale in which the Affiliate has fully explained the product, answered all prospect questions, and delivered the prospect to the Company ready to purchase. The Company's role at that point is limited to processing payment. See Section 3 for the distinction between a closed sale and an introduction.

### 3. Commission Structure

All commissions are calculated as a percentage of the Net Sale Amount (gross sale price minus applicable sales tax). The Company does not pay commissions on tax collected, as the Company bears this cost separately.

#### 3.1 Commission Tiers

This rate also applies when the Company has to invest significant effort to complete or rescue a sale that the Affiliate began but did not fully close.                                   |
| Direct Sale Commission    | 4%   | Affiliate fully closes the sale — meaning the Affiliate has explained the product, addressed all questions, and delivered the prospect ready to purchase. The Company's involvement is limited to receiving payment.                                                                                                              |
| Secondary Sale Commission | 2%   | After Person B (the Affiliate's referred customer) makes their initial purchase, if Person B subsequently makes one (1) additional sale of their own, Person A earns 2% of the Net Sale Amount of that one secondary transaction. This is a one-time entitlement per referred customer — not an ongoing or indefinite commission. |

It does not extend to further transactions, downstream referrals, or any chain of sales beyond this single event. Indefinite downstream commissions are not offered under this Policy. {% endhint %}

#### 3.2 What Constitutes a "Closed Sale"

The Direct Sale Commission (4%) is earned only when the Affiliate has done the full work of converting a prospect. Specifically:

* The Affiliate has explained the product and its value to the prospect's satisfaction.
* All material questions from the prospect have been addressed by the Affiliate.
* The prospect is delivered to the Company for payment processing only — no further convincing, negotiation, or sales effort is required from the Company.

If the Company must invest meaningful effort to rescue, restart, or complete the sale after the Affiliate's handoff, the commission rate reverts to 1% (Introduction rate). The Company's determination of whether a sale was fully closed by the Affiliate is final.

#### 3.3 Attribution & the 30-Day Rule

When a prospect has been introduced by one Affiliate but the sale is completed with meaningful involvement from a second Affiliate or the Company, the following rules apply:

* If the sale closes within 30 days of the original introduction: Person A (the introducer) receives 1% and Person B (who closed the sale) receives 4%.
* If the sale closes after 30 days from the original introduction: The Affiliate who closes the sale receives the full 5% (combining what would have been the introduction and closing rates). The original introducer's commission entitlement lapses after 30 days without a completed sale.

#### 3.4 Tax Deduction & Net Sale Calculation

The Company's product pricing includes applicable sales tax. Because sales tax rates vary by jurisdiction, the applicable tax for each sale will be determined based on the location of the transaction.

Formula:

Net Sale Amount  =  Gross Sale Price − Applicable Sales Tax

Commission Earned  =  Net Sale Amount × Commission Rate

Example: $1,000 sale in a 7.25% tax jurisdiction → Net = $927.50 → 4% Direct Sale Commission = $37.10

Commissions are never calculated on the pre-tax gross amount, as the Company does not retain the tax portion of any sale.

### 4. Commission Payment Terms

#### 4.1 Minimum Payout Threshold

Commissions are paid once an Affiliate's accrued, eligible balance reaches a minimum of $500. Balances below $500 carry over to the next payment cycle and continue to accumulate until the threshold is met.

#### 4.2 Payment Schedule

Once the $500 threshold is reached, payment is issued on the next qualifying date on the 1st or 15th of each month, subject to the 30-day holding period below:

* A commission becomes eligible for payout only after a minimum of 30 calendar days have elapsed from the date the underlying sale was completed.
* The payout occurs on the first eligible payment date (the 1st or 15th) that falls at least 30 days after the sale date.

Examples:

#### 4.3 Approved Payment Methods

Commissions will only be disbursed via the following approved methods:

* ACH Bank Transfer (preferred)
* Zelle
* PayPal

{% hint style="danger" %} Cash and cryptocurrency payments are not recognized commission disbursement methods under any circumstances.

While our software operates in the crypto trading space, Rogue AI Trading Inc. is not a crypto business and will not issue commission payments in cryptocurrency. Commission payments made via cash or cryptocurrency cannot be tracked or reported in a manner compliant with IRS requirements — this is a primary reason such methods are prohibited.

Any commission paid via cash or cryptocurrency in the past was a one-time exception and does not set precedent. Affiliates who cannot provide approved payment details will have their payout held until valid information is received. {% endhint %}

Affiliates are responsible for providing and maintaining accurate payment information. The Company is not liable for failed or delayed payments resulting from incorrect information provided by the Affiliate.

#### 4.4 Tax Reporting & IRS Compliance

Affiliates are classified as independent contractors, not employees of Rogue AI Trading Inc. The following obligations apply:

* Affiliates who earn $600 or more in a calendar year will be issued a Form 1099-NEC by January 31 of the following year.
* All Affiliates must complete the Company's official onboarding form before any commission will be disbursed. This form collects the information required for IRS compliance, including the details needed for Form W-9 (U.S. persons) or W-8BEN (non-U.S. persons). A link to the form will be provided upon acceptance into the affiliate program. Payments will be withheld until the onboarding form is completed and the information is verified.
* Affiliates are solely responsible for reporting and paying all applicable federal, state, and local income taxes on commissions earned.
* The Company does not withhold income tax from commission payments unless required by law (e.g., backup withholding under IRS Notice 972CG).

### 5. Clawback Policy

Commissions are held for a minimum of 30 days (see Section 4.2) in part to allow for the resolution of refunds, chargebacks, and disputes.

#### 5.1 Pre-Payment Clawback

If, before a commission is paid out, the underlying sale is:

* Refunded in full or in part
* Charged back by the customer's financial institution
* Disputed and resolved in the customer's favor
* Cancelled or reversed for any reason

Then the commission associated with that sale will be reduced proportionally or eliminated entirely depending on the amount refunded. No payout will be made on fully reversed transactions.

#### 5.2 Post-Payment Clawback

If a commission has already been paid and the underlying sale is subsequently refunded, charged back, or reversed, the Company reserves the right to:

* Deduct the clawed-back amount from the Affiliate's next scheduled commission payout, or
* Issue a written demand for repayment if no future commissions are pending.

The Affiliate agrees to repay any clawed-back commission within 30 calendar days of receiving written notice from the Company.

### 6. Affiliate Conduct & Eligibility

#### 6.1 Competing Products

Affiliates may not simultaneously represent, promote, or sell any product or service that directly competes with Rogue AI Trading Inc.'s offerings.

* If an Affiliate is repping a competing product and discloses this to the Company, the matter will be reviewed and a determination made on a case-by-case basis.
* If an Affiliate is found to be repping a competing product without disclosure, they will be immediately and permanently barred from the affiliate program, and any unpaid commissions will be forfeited.

#### 6.2 Additional Prohibited Conduct

The following are prohibited and may result in immediate termination and forfeiture of unpaid commissions:

* Misrepresenting the Company's products, services, capabilities, or pricing to any prospect or customer.
* Making guarantees of financial returns or trading performance on behalf of the Company.
* Self-referral — An Affiliate may not refer themselves or entities they own or control in order to generate commission.
* Recruiting other Affiliates in exchange for a commission share, profit split, or any unauthorized financial arrangement. This Policy does not create or permit a multi-level or network marketing structure.
* Soliciting customers through spam, unsolicited mass messaging, or misrepresentation of affiliation.

### 7. Term & Termination

Affiliate participation has no defined expiration date. An Affiliate remains eligible to earn commissions on qualifying new client sales indefinitely, provided they remain in good standing under this Policy.

Either party may end the Affiliate relationship with written notice.

* Commissions already earned on completed, non-reversed sales prior to the termination date will be paid on the next eligible payment date, subject to the 30-day holding period, minimum threshold, and clawback provisions.
* Commissions on sales that occur after the termination date will not be paid, regardless of whether the prospect was introduced prior to termination.
* The Company reserves the right to terminate an Affiliate immediately and without payment of pending commissions in cases of fraud, misrepresentation, undisclosed competing representation, or material breach of this Policy.

### 8. Policy Modifications

Rogue AI Trading Inc. reserves the right to modify this Policy at any time. Affiliates will be notified of material changes in writing (email is acceptable). Continued participation in the affiliate program following notice of a change constitutes acceptance of the revised Policy.

Commission rates in effect at the time a sale is completed will govern that sale, even if rates are subsequently modified.

### 9. Entire Agreement

This Policy constitutes the entire agreement between Rogue AI Trading Inc. and each Affiliate with respect to affiliate compensation and supersedes all prior oral or written communications, promises, or representations on the subject matter herein.

No verbal agreements regarding commission rates, payment methods, or eligibility will be recognized or honored.
