# Affiliate Program (Online)

### 1. Purpose & Scope
This Online Affiliate Commission Policy ("Policy") governs the terms under which Affiliates earn compensation for online referrals that result in a completed purchase, tracked through the Company's Rewardful affiliate platform. This Policy is binding on all Affiliates participating in the online referral program and operates as a companion to the Direct Sales Affiliate Commission Policy.
There is no defined contract term for Affiliate participation. An Affiliate is entitled to earn commissions on any qualifying online referral sale for as long as they remain in good standing under this Policy.

### 2. How the Online Program Works
The online affiliate program operates through Rewardful, a third-party affiliate tracking platform. When an Affiliate joins the online program, they are issued a unique referral link through Rewardful. When a prospect clicks that link and completes a purchase within the cookie window, the Affiliate earns a commission automatically tracked by the platform.
* Affiliates must have an active Rewardful account to participate.
* Rewardful tracks referrals via browser cookies. The Affiliate is credited only for purchases that occur within the cookie window and are properly attributed to their unique link.
* The Company does not manually attribute online commissions. If a sale is not tracked by Rewardful due to cookie blocking, link misuse, or customer behavior outside the Affiliate's control, no commission will be paid for that transaction under this Policy.

### 3. Definitions
* Affiliate — Any individual or entity enrolled in the Rogue AI Trading Inc. online affiliate program via Rewardful.
* Referral Link — The unique tracking URL issued to each Affiliate through Rewardful.
* Cookie Window — The period of time after a prospect clicks an Affiliate's referral link during which a completed purchase is attributed to that Affiliate. The cookie window is 30 days.
* Attributed Sale — A completed purchase by a prospect who clicked the Affiliate's referral link within the cookie window, as confirmed by Rewardful.
* Net Sale Amount — The gross transaction amount less applicable sales tax for the jurisdiction in which the sale occurs. All commission percentages are calculated on the Net Sale Amount only.
* New Client — A prospect with no prior purchase history with the Company at the time of the attributed sale.

### 4. Commission Structure
#### 4.1 Online Referral Commission Rate
Online referral commissions are a flat rate applied to all attributed sales:

There are no tiered rates, introduction vs. closing distinctions, or secondary sale commissions under the online program. The 3% rate applies uniformly to all attributed sales.
{% hint style="info" %} The online rate is set lower than the direct sales rate (4%) because online referrals require sharing a link rather than the active, human-led work of directly closing a sale. Different effort, different compensation — both are fair and transparent. {% endhint %}

#### 4.2 Cookie Window
The attribution cookie window is 30 days from the date of the prospect's first click on the Affiliate's referral link.
* If a prospect clicks the link and purchases within 30 days, the sale is attributed to the Affiliate.
* If a prospect clicks the link but does not purchase within 30 days, no commission is owed for any subsequent purchase by that prospect under this Policy.
* If a prospect clicks multiple Affiliates' links, Rewardful attributes the sale to the most recent click (last-click attribution). The Company does not override Rewardful's attribution logic.

#### 4.3 Secondary Sale Commission
The Secondary Sale Commission available under the Direct Sales Policy does not apply to the online program. Online commissions are earned on attributed sales only. There is no downstream or follow-on commission for future purchases made by an online-referred customer.

#### 4.4 Tax Deduction & Net Sale Calculation
The Company's product pricing includes applicable sales tax. Because sales tax rates vary by jurisdiction, the applicable tax for each sale will be determined based on the location of the transaction.
Formula:
Net Sale Amount = Gross Sale Price − Applicable Sales Tax
Commission Earned = Net Sale Amount × 3%
Example: $1,000 sale in a 7.25% tax jurisdiction → Net = $927.50 → 3% Online Referral Commission = $27.83
Commissions are never calculated on the pre-tax gross amount, as the Company does not retain the tax portion of any sale.

### 5. Conflict Rule — Online Referral vs. Direct Sales
An Affiliate may participate in both the online referral program and the Direct Sales program. When the same customer has both a Rewardful tracking cookie and a direct human sales relationship with an Affiliate, the following applies:
* Direct sales activity always takes precedence over online cookie attribution.
* If an Affiliate has been actively working a prospect through direct contact, and that prospect also clicked the Affiliate's Rewardful link at any point, the sale is governed by the Direct Sales Policy — not this Policy.
* Commission will not be paid under both policies for the same transaction. The higher-effort, human-led engagement is the governing relationship.
* If there is any dispute over which policy governs a transaction, the Company's determination is final.

### 6. Commission Payment Terms
#### 6.1 Minimum Payout Threshold
Online commissions are subject to the same minimum payout threshold as direct sales commissions. An Affiliate's total accrued balance across both programs must reach $500 before any payout is issued. Balances carry over between cycles until the threshold is met.

#### 6.2 Payment Schedule
Once the $500 combined threshold is reached, payment is issued on the next qualifying date on the 1st or 15th of each month, subject to the 30-day holding period:
* A commission becomes eligible for payout only after a minimum of 30 calendar days have elapsed from the date of the attributed sale.
* The payout occurs on the first eligible payment date (the 1st or 15th) that falls at least 30 days after the sale date.
Examples:

#### 6.3 Approved Payment Methods
Commissions will only be disbursed via the following approved methods:
* ACH Bank Transfer (preferred)
* Zelle
* PayPal
{% hint style="danger" %} Cash and cryptocurrency payments are not recognized commission disbursement methods under any circumstances.
While our software operates in the crypto trading space, Rogue AI Trading Inc. is not a crypto business and will not issue commission payments in cryptocurrency. Commission payments made via cash or cryptocurrency cannot be tracked or reported in a manner compliant with IRS requirements.
Affiliates who cannot provide approved payment details will have their payout held until valid information is received. {% endhint %}

#### 6.4 Tax Reporting & IRS Compliance
Affiliates are classified as independent contractors, not employees of Rogue AI Trading Inc. The following obligations apply:
* Affiliates who earn $600 or more in a calendar year across both programs combined will be issued a Form 1099-NEC by January 31 of the following year.
* All Affiliates must complete the Company's official onboarding form before any commission will be disbursed. This form collects the information required for IRS compliance, including the details needed for Form W-9 (U.S. persons) or W-8BEN (non-U.S. persons). A link to the form will be provided upon acceptance into the affiliate program. Payments will be withheld until the onboarding form is completed and the information is verified.
* Affiliates are solely responsible for reporting and paying all applicable federal, state, and local income taxes on commissions earned.
* The Company does not withhold income tax from commission payments unless required by law (e.g., backup withholding under IRS Notice 972CG).

### 7. Clawback Policy
#### 7.1 Pre-Payment Clawback
If, before a commission is paid out, the underlying attributed sale is:
* Refunded in full or in part
* Charged back by the customer's financial institution
* Disputed and resolved in the customer's favor
* Cancelled or reversed for any reason
Then the commission associated with that sale will be reduced proportionally or eliminated entirely depending on the amount refunded. No payout will be made on fully reversed transactions.

#### 7.2 Post-Payment Clawback
If a commission has already been paid and the underlying sale is subsequently refunded, charged back, or reversed, the Company reserves the right to:
* Deduct the clawed-back amount from the Affiliate's next scheduled commission payout, or
* Issue a written demand for repayment if no future commissions are pending.
The Affiliate agrees to repay any clawed-back commission within 30 calendar days of receiving written notice from the Company.

### 8. Affiliate Conduct & Eligibility
#### 8.1 Competing Products
Affiliates may not simultaneously represent, promote, or sell any product or service that directly competes with Rogue AI Trading Inc.'s offerings.
* If an Affiliate is repping a competing product and discloses this to the Company, the matter will be reviewed and a determination made on a case-by-case basis.
* If an Affiliate is found to be repping a competing product without disclosure, they will be immediately and permanently barred from both affiliate programs, and any unpaid commissions will be forfeited.

#### 8.2 Link Usage & Prohibited Promotion Methods
Affiliates are prohibited from the following. Violation may result in immediate removal from the program and forfeiture of unpaid commissions:
* Posting referral links in spam, unsolicited emails, or mass messaging campaigns.
* Using paid search ads that target the Company's brand name or trademarked terms without explicit written permission.
* Cookie stuffing, link cloaking, or any method designed to generate fraudulent attributions.
* Misrepresenting the Company's products, pricing, or capabilities in any online content.
* Making guarantees of financial returns or trading performance on behalf of the Company.
* Self-referral — An Affiliate may not click their own referral link or refer entities they own or control in order to generate commission.

### 9. Term & Termination
Affiliate participation has no defined expiration date. An Affiliate remains eligible to earn online referral commissions indefinitely, provided they remain in good standing under this Policy.
Either party may end the online Affiliate relationship with written notice. Termination from one program (direct sales or online) does not automatically terminate participation in the other, unless the cause for termination applies to both.
* Commissions already earned on completed, non-reversed attributed sales prior to the termination date will be paid on the next eligible payment date, subject to the holding period, minimum threshold, and clawback provisions.
* The Company reserves the right to terminate an Affiliate immediately and without payment of pending commissions in cases of fraud, link abuse, misrepresentation, undisclosed competing representation, or material breach of this Policy.

### 10. Policy Modifications
Rogue AI Trading Inc. reserves the right to modify this Policy at any time, including commission rates and cookie window duration. Affiliates will be notified of material changes in writing (email is acceptable). Continued participation following notice of a change constitutes acceptance of the revised Policy.
Commission rates and cookie windows in effect at the time of a referral click will govern that referral, even if terms are subsequently modified.

### 11. Entire Agreement
This Policy constitutes the entire agreement between Rogue AI Trading Inc. and each Affiliate with respect to online referral affiliate compensation. It operates alongside, and does not replace, the Direct Sales Affiliate Commission Policy.
No verbal agreements regarding online commission rates, attribution, or eligibility will be recognized or honored.
