("Company," "we," "us"). By accessing, purchasing, holding access credentials or licenses, or otherwise using the Rogue AI Trading Bot or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not access or use the Service. {% endhint %} *** ### 1. No Investment Advice / No Fiduciary Relationship The Service is provided as an automated software execution tool. Any informational or educational content provided within the Service is for general reference only and does not constitute investment advice. The Company does not provide personalized investment advice, financial advice, or financial planning services. Our AI trading software automatically executes trades on the user's behalf based on algorithmic logic and user-configured settings. By enabling automated trading, the user authorizes the software to execute trades without further manual input. All trading decisions, configurations, and outcomes remain the sole responsibility of the user. Users should consult a licensed financial advisor before enabling automated trading. * The Company is not a broker, dealer, investment adviser, commodity trading advisor, or fiduciary. * No fiduciary relationship is created by your use of the Service. * Any trading decisions, including the configuration of automated settings, are solely your responsibility. * Cryptocurrency and digital asset trading involves substantial risk, including the possible loss of all capital invested. *** ### 2. Eligibility By using the Service, you represent and warrant that: * You are at least 18 years old (or the age of majority in your jurisdiction, whichever is greater). * You have the legal capacity to enter into this agreement. * You are not prohibited from using the Service under any applicable law or regulation. * You are not located in a jurisdiction where the Service is illegal or restricted. *** ### 3. Description of the Service The Service may include, without limitation: * Market data analysis * Signal generation * Automated trading functionality * Software tools, dashboards, and APIs The Company does not guarantee profitability, accuracy, market performance, or availability or uptime of the Service. The Service may be modified, suspended, or discontinued at any time without notice. *** ### 4. Digital Assets & Cryptocurrency The Service operates in connection with cryptocurrency markets and digital assets. By using the Service, you acknowledge and agree that: * Cryptocurrency and digital asset markets are highly volatile and largely unregulated. * The Company does not custody, hold, control, or have access to your funds, cryptocurrency, or exchange accounts. All assets remain in your control at all times. * The Company connects to your exchange accounts via API credentials that you provide and configure. The Company does not store or have independent access to your exchange login credentials. * Digital asset values may fluctuate dramatically or become worthless. The Company makes no representation regarding the value of any digital asset. * Regulatory treatment of digital assets varies by jurisdiction and may change. You are solely responsible for determining the legal and tax implications of using the Service in your jurisdiction. *** ### 5. Data Collection & Privacy The Company collects and processes only the minimum data necessary to operate the Service. Specifically: * Crypto wallet addresses associated with your account or trading activity. * Trade data generated by the bot on your behalf, including executed trades, positions, and performance records. The Company does not collect personally identifying financial credentials. All API keys and exchange credentials used to access market data and execute trades are stored and managed on the Company's infrastructure and are not shared with third parties except as required to operate the Service. By using the Service, you consent to the collection and use of this data for the purposes of operating, maintaining, and improving the Service. *** ### 6. Assumption of Risk By using the Service, you expressly acknowledge and agree that: * Markets are volatile and unpredictable. * Past performance is not indicative of future results. * Software bugs, exploits, delays, or failures may occur. * Third-party exchange outages, API disruptions, or data feed errors may affect the Service. * You may lose some or all of the capital you deploy. You assume all risks associated with your use of the Service. *** ### 7. No Warranties {% hint style="warning" %} THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY AND RELIABILITY. {% endhint %} *** ### 8. Fees, Payments & No Refunds #### 8.1 Fees All fees are disclosed prior to purchase or access. You are responsible for all applicable taxes, network fees, and transaction costs associated with your use of the Service. *** #### 8.2 No Refund Policy {% hint style="danger" %} ALL SALES ARE FINAL. To the maximum extent permitted by applicable law, all purchases are non-refundable and non-transferable once payment is processed. {% endhint %} This includes, without limitation: * Subscription fees * License fees * Unused time or features * Partial billing periods By completing a purchase, you expressly acknowledge and agree that you are not entitled to a refund under any circumstances, including but not limited to account termination, service interruption, dissatisfaction with results, or failure to use the Service. *** #### 8.3 Termination for Cause — No Refund If your access is terminated due to a violation of these Terms, you are not entitled to any refund, credit, or compensation for any fees paid, unused time, or remaining subscription period. *** ### 9. User Conduct You agree that you will not, directly or indirectly: * Harass, threaten, defame, or abuse the Company, its founders, employees, contractors, or community members. * Make false or misleading statements about the Company or the Service. * Engage in coordinated attacks, smear campaigns, or conduct intended to cause reputational harm. * Disrupt or interfere with the Company's systems, communications, or operations. * Reverse engineer, exploit, probe, or abuse the Service or its underlying infrastructure. * Use the Service in bad faith or for adversarial purposes. Violation of this section constitutes a material breach of these Terms. *** ### 10. Suspension & Termination The Company reserves the right, in its sole discretion, to suspend or terminate your access to the Service immediately, revoke licenses or access credentials, and remove you from any associated communication channels. Termination may occur with or without notice, and without refund, including for: * Harassment or abusive behavior toward the Company or its personnel. * Conduct harmful to the Company or its reputation. * Breach of any provision of these Terms. * Legal, regulatory, or security risk as determined by the Company. *** ### 11. Limitation of Liability {% hint style="warning" %} TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: * THE COMPANY SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, MISSED OPPORTUNITIES, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SERVICE. * THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. * THE COMPANY SHALL NOT BE LIABLE FOR ANY LOSSES ARISING FROM THIRD-PARTY EXCHANGE FAILURES, API DISRUPTIONS, DATA FEED ERRORS, NETWORK OUTAGES, OR EVENTS BEYOND THE COMPANY'S REASONABLE CONTROL. * THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU, REGARDLESS OF THE CAUSE OR FORM OF ACTION, SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO THE COMPANY IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. {% endhint %} *** ### 12. Indemnification You agree to defend, indemnify, and hold harmless the Company and its officers, members, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: * Your use or misuse of the Service. * Your trading activity conducted through or in connection with the Service. * Your violation of these Terms. * Your public statements or conduct relating to the Company or the Service. *** ### 13. Intellectual Property All intellectual property rights in the Service, including but not limited to software, algorithms, dashboards, and documentation, are owned exclusively by Rogue AI Trading Inc. You are granted a revocable, non-transferable, non-exclusive license to use the Service solely in accordance with these Terms. This license does not convey any ownership rights and may be revoked at any time upon termination of your access. *** ### 14. Governing Law & Arbitration These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. #### 14.1 Binding Arbitration Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its then-current Commercial Arbitration Rules. Arbitration shall be conducted in Pennsylvania. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. #### 14.2 Class Action Waiver You waive any and all rights to participate in a class action, collective action, or representative proceeding of any kind. All disputes must be brought on an individual basis only. #### 14.3 Exceptions Nothing in this section prevents either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm. *** ### 15. Severability If any provision of these Terms is found to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall remain in full force and effect. *** ### 16. Modifications The Company may modify these Terms at any time. When changes are made, the "Last Updated" date at the top of this page will be revised. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. *** ### 17.
